Valve didn't have to sign any CONTRACT with V/U - or any other publisher if they wanted to sell the game via Steam...
This was a choice they made - as did they when saying last year that HL2 would be out September 30... and after pulling in as many ATI videocard sales as they could, finally admitted the game wasn't ready yet... Karma - it be a bitch...
Well, at that point they still needed / wanted a publisher. They had no idea if Steam was going to take, and if they didn't have a Publisher, they'd be screwed.
Plus, Vivendi invested in the game (gave them money), so that helped things along.
Imagine if you will, Steam barely being used or liked. Hell, A LOT of people don't want to touch it now. Deciding to do it on their own for this "experiment" without any seed money from Vivendi COULD have meant the end of Valve.
