Basically what they're buying is some developer relations for their own Android-based set-top console, some existing software (that they say they'll be moving over to Google Play - a potential win for everybody there), and connections with various Chinese firms that Ouya was trying to work with to create a market for the device (Alibaba, who had a $10m stake in Ouya, has said that they'll be working with Razer on promoting and distributing the Forge TV box, making me think that it's possible Ouya's investors forced the sale in the hopes of trying to get some of their money back).

Poor Razer. I wonder if this will put them on the hook for fulfilling any remaining Kickstarter packages?
